1. Acceptance of Terms
These Terms of Service govern your use of ProBot Solutions websites, communications, proposals, and services. By using the website, submitting a form, signing a service agreement, or using our services, you agree to these terms.
2. Description of Services
ProBot Solutions provides AI systems and automation services for local contractors and small businesses, including AI voice agents, AI receptionist systems, missed-call answering, after-hours coverage, appointment booking, lead generation, lead reactivation, 5-star review workflows, and automation workflows.
3. Eligibility
You must be at least 18 years old and, when acting for a business, be an authorized representative of that business with authority to evaluate, purchase, and use our services.
4. Engagement & Service Agreements
Specific service scope, pricing, implementation timing, cancellation terms, and deliverables may be set out in a proposal, order form, statement of work, invoice, or service agreement. If those documents conflict with these Terms, the signed or accepted service-specific document controls for that engagement.
5. Payment Terms
Setup fees are non-refundable once work begins. Monthly fees are billed in advance. Late payments have a 7-day grace period. After the grace period, unpaid balances may accrue a late fee of 1.5% per month or the maximum allowed by law, whichever is lower.
6. Client Responsibilities
Clients are responsible for providing accurate business information, lawful contact lists, approved messaging, calendar access when needed, prompt feedback, account permissions, and any disclosures or consents required for their business. Clients must review and approve workflows before launch when approval is requested.
7. Acceptable Use
You may not use our services for spam, unlawful calling or texting, TCPA violations, fraud, deceptive practices, harassment, illegal content, or any misuse of consumer data. You may not reverse-engineer, copy, resell, scrape, or misuse our intellectual property, frameworks, templates, prompts, automations, or systems.
8. Intellectual Property
ProBot Solutions retains ownership of its frameworks, templates, prompts, scripts, workflows, configuration methods, training materials, know-how, and other intellectual property. Clients retain ownership of their business data, customer data, logos, trademarks, and branding materials.
9. Data Ownership & Confidentiality
Client data remains the client's property. ProBot Solutions handles client data as a service provider for the purpose of delivering services. We are not a Business Associate under HIPAA and do not agree to handle protected health information unless a separate written agreement expressly says otherwise.
10. Third-Party Services & AI Disclaimers
Our services may depend on third-party providers, including Twilio, Vapi, OpenAI, and Anthropic. These services may change, experience downtime, or produce errors. AI systems are not 100% accurate and may misunderstand, omit, hallucinate, or misclassify information. Clients remain responsible for reviewing material business decisions and customer communications.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. PROBOT SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UPTIME, ACCURACY, AND RELIABILITY. PROBOT SOLUTIONS DOES NOT GUARANTEE ANY SPECIFIC BUSINESS OUTCOME, REVENUE, LEAD VOLUME, BOOKING RATE, REVIEW COUNT, SEARCH RANKING, OR RETURN ON INVESTMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROBOT SOLUTIONS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES IS CAPPED AT THE GREATER OF THE FEES PAID BY THE CLIENT TO PROBOT SOLUTIONS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. PROBOT SOLUTIONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
13. Indemnification
Clients agree to indemnify and hold ProBot Solutions harmless from claims, damages, penalties, costs, and expenses arising from the client's business operations, contact lists, marketing instructions, messaging content, TCPA or telemarketing compliance failures, customer disputes, or content the client directs us to send or use.
14. Termination
Either party may terminate services according to the applicable service agreement or, if none exists, by written notice before the next billing cycle. ProBot Solutions may suspend or terminate services for nonpayment, misuse, unlawful activity, or material breach of these Terms.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. The exclusive jurisdiction and venue for disputes is in the state or federal courts located in Middlesex County, Massachusetts. You waive the right to participate in any class action, collective action, or representative proceeding against ProBot Solutions.
16. Modifications to Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised last updated date. Continued use of the website or services after changes are posted means you accept the updated Terms.
17. Miscellaneous
These Terms, together with any applicable proposal, order form, invoice, or service agreement, form the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions remain in effect. Neither party is liable for delays or failures caused by force majeure events beyond reasonable control.
